Qumely Terms of Service

These Terms of Service (“Terms”) govern your use of Qumely’s websites, APIs, and related services (“Qumely” or the “Service”).

By creating an account or otherwise accepting these Terms when presented, you agree to these Terms and acknowledge our Privacy Policy. You must be at least 18 years old and legally able to enter into these Terms. People under 18 must not create an account or use Qumely.

1. Qumely Is an Assistive Planning Tool

Qumely helps students organize academic information, including syllabi, courses, schedules, deadlines, study plans, attendance, reminders, workload information, and streaks.

Qumely is not an official academic record or authoritative source of course information.

Information may be entered by you, imported from another user, extracted using artificial intelligence, or generated automatically. AI and automated systems can make mistakes, omit information, misunderstand a syllabus, or produce incorrect dates, times, weights, schedules, or recommendations.

You are responsible for:

• reviewing information before confirming it;
• verifying deadlines, exam dates, class times, grading information, and academic requirements against official sources;
• correcting inaccurate information;
• ensuring your institution, course, term, and time zone are accurate; and
• submitting academic work and attending required activities on time.

Official instructions from your institution, instructor, syllabus, learning-management system, or other authoritative academic source take precedence over Qumely.

2. Time Zones, Reminders and Notifications

Qumely may calculate academic deadlines, attendance windows, study schedules and reminders using the applicable institution, course or account time zone. Daily check-in days use the Streak time zone shown in Qumely.

You are responsible for confirming that the selected institution, time zone, dates, and times are correct.

Where available, browser notifications require you to enable them and grant permission on that browser or device. Available in-app reminders are separate from browser push notifications.

Reminders are provided as a convenience only. Delivery may be affected by your device, operating system, notification permissions, internet connectivity, third-party notification services, outages, incorrect data, or other factors.

Where Qumely provides notification settings, your selections control the applicable reminder categories. Qumely may still send account or security communications, such as configured password-reset messages, where necessary to operate or secure your account.

Qumely does not guarantee that a notification or reminder will be delivered before a deadline. You remain responsible for monitoring and meeting your academic obligations.

3. Syllabus and Document Uploads

You retain ownership of content you upload.

By uploading a syllabus or other document, you confirm that you have the right or permission to upload and process that material through Qumely.

You grant Qumely a limited licence to store, validate, process, extract, transform, and otherwise use the uploaded content only as reasonably necessary to provide, secure, maintain, and improve the Service.

Before extraction, Qumely checks an upload’s expected file type, content signature, size, and PDF or DOCX structure. These checks help reject unsupported or malformed documents; they are not malware scanning and do not guarantee that an uploaded file is harmless.

Qumely does not acquire ownership of your syllabus.

You must not upload content that is unlawful, malicious, infringes another person's rights, or that you are prohibited from processing or sharing.

4. Artificial Intelligence

Qumely uses paid Google Gemini API services for production syllabus extraction, interpretation, and classification.

Qumely may also use Google Gemini, with Google Search grounding where enabled, for separate academic-term date suggestions. These suggestions require your review, like other AI-generated information. The Privacy Policy describes the related processing.

AI-generated results are estimates or suggestions and may be inaccurate. You should review extracted information before relying on it.

Google states that paid-service prompts, associated content, and responses are not used to improve its products. Google nevertheless retains certain data for abuse monitoring and required legal or regulatory disclosures under its applicable terms. Deleting an original file from Qumely does not erase provider-held data, and paid processing is not a promise of zero retention.

AI attendance-photo verification is not currently enabled.

5. Course Sharing

Qumely may allow users to share or import structured course information.

Course sharing does not provide another user with the original syllabus file unless Qumely expressly introduces such a feature and clearly informs you.

Information you intentionally share with another user may remain in that user’s account as an independent copy even if you later modify or delete your own copy.

You are responsible for verifying information received through course sharing before relying on it.

6. Attendance and Streak Features

Attendance, daily check-in and streak features are motivational and organizational tools only. Daily check-ins record qualifying use of Qumely; they are not proof of class attendance or completed coursework. Check-in availability and the applicable day are shown in the Service. AI attendance-photo verification is not currently enabled.

You must not intentionally submit fraudulent or misleading attendance information.

Partnership streak information may be visible to both participants because both users contribute to the partnership. Personal Streak sharing is separate: if you enable it, friends can see your current and best personal streak counts and your goal, if set. Each person controls their own personal-sharing setting, as described in the Privacy Policy.

If a streak is missed, Qumely may provide a limited recovery period and may offer a Streak Freeze or similar recovery option. A recovery option may require coins or another digital entitlement at the amount shown in the Service. Once a streak loss is finalized, it may no longer be recoverable.

Coin-based Streak recovery is optional and requires current paid access, sufficient coins and an eligible missed day within the deadline shown. Choosing Continue free or closing the offer without submitting a recovery request does not spend coins or undo today's successful check-in. Closing the offer after submitting a recovery request does not cancel that request or reverse a completed purchase. Dismissing the offer does not extend the recovery deadline.

7. Accounts

You are responsible for maintaining the security of your account and for activity performed through it.

You must provide reasonably accurate account information and must not misuse the Service, attempt unauthorized access, interfere with Qumely’s systems, bypass quotas or security controls, distribute malware, scrape the Service without authorization, or use Qumely for unlawful purposes.

We may restrict, suspend, or terminate accounts where reasonably necessary to protect Qumely, our users, third parties, or the integrity of the Service.

8. Paid Plans, Coins, Credits and Quotas

Web purchases are processed by Stripe. Current paid offerings include available subscriptions, Semester access, and Bao digital-credit packs, subject to the options and eligibility shown at checkout. Premium purchasing and RevenueCat/native in-app purchasing are not currently enabled.

The price, included features, billing period, usage limits, renewal terms, and applicable taxes shown at the time of purchase form part of these Terms.

Qumely offers a one-time Free Trial with 6 syllabus uploads in total. The 30-day period begins with your first successful course creation, including a course created by confirming a Review; it does not begin at signup or extraction. Uploads already used or reserved count toward the six total. The allowance does not renew monthly and is not a six-course limit. Manual course creation does not consume that syllabus-upload allowance or have a separate course-count limit during the active trial.

An upload reserves a slot when it is accepted and uses that slot when a usable Review is ready, before confirmation. You review the extracted information before confirming a course. Failed processing before delivery may restore the reserved allowance under the applicable plan rules; discarding a delivered Review does not restore it.

Unused uploads do not extend the trial. After expiry, current paid access is required for normal planner access and new uploads. Already-funded extraction and Review work may continue under its existing deadline and authorization rules. Confirmation after expiry does not restart the trial or restore normal planner access. Expiry does not automatically charge you or delete your data; existing retention and account-management rules still apply.

SmartStudy and coin/shop access are not included in the Free Trial unless Qumely expressly presents otherwise. Once the Free Trial has been used, it does not restart if paid access later expires or is cancelled.

Bao, coins, credits, upload allowances, AI allowances, promotional balances, and similar digital entitlements:

• have no cash value;
• cannot be redeemed for cash;
• may be subject to plan-specific reset or expiration rules;
• are generally non-transferable; and
• may be forfeited when an account is terminated for material violation of these Terms, subject to applicable law.

9. Subscriptions and Cancellation

Recurring subscriptions automatically renew according to the terms presented when you subscribe unless cancelled before renewal.

Semester access is a prepaid, fixed-term purchase and does not automatically renew. Access ends at the end of the purchased term. No need to cancel manually.

Cancelling a subscription normally stops future renewal and does not terminate access already paid for during the current billing period.

Manage current Web subscriptions through Qumely’s Stripe billing-management flow. Cancellation does not itself create a refund or prorated refund.

Deleting or ceasing to use Qumely does not itself cancel an active subscription. Account-deletion requests are handled through Qumely support at launch, subject to billing-safety checks; automatic final deletion is currently inactive.

Cancelling or allowing paid access to expire does not restore a Free Trial that has already been used.

10. Refund Policy

Except where required by applicable law, all purchases are final and non-refundable. Cancelling a subscription does not create a prorated refund.

Qumely does not provide refunds or prorated refunds for:

• unused subscription time;
• failure to use the Service;
• unused coins, credits, uploads, or AI allowances;
• accidental non-use;
• missed academic deadlines;
• incorrect information entered or confirmed by a user;
• AI extraction errors that the user had an opportunity to review;
• notification delivery failures; or
• cancellation partway through a paid billing period.

If a syllabus extraction fails before producing a usable Review, Qumely may restore the syllabus-upload allowance, coins, or other digital entitlement that had been reserved for that extraction under the applicable plan rules. This is a restoration of a digital entitlement, not a cash refund. Discarding a successfully produced usable Review does not restore the upload allowance or coins used for that extraction.

Nothing in this section limits any non-waivable consumer right available to you under applicable law.

11. Service Availability

We work to provide a reliable Service, but Qumely may occasionally be unavailable, delayed, interrupted, changed, or contain errors.

Features may rely on third-party infrastructure, AI providers, databases, cloud storage, email services, notification systems, payment platforms, analytics systems, and other providers outside Qumely’s direct control.

We may modify, discontinue, replace, or impose reasonable limits on features where necessary, subject to applicable law.

12. Intellectual Property

Except for user content, Qumely and its software, designs, branding, interfaces, databases, documentation, and other proprietary materials are owned by Qumely or its licensors.

These Terms give you a personal, limited, non-exclusive, non-transferable right to use the Service. They do not transfer ownership of Qumely intellectual property to you.

13. Disclaimer of Warranties

To the maximum extent permitted by law, Qumely is provided on an “as is” and “as available” basis.

We do not guarantee that Qumely will be uninterrupted, error-free, completely accurate, or suitable as your sole method of tracking academic obligations.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Qumely will not be liable for indirect, incidental, special, consequential, or similar damages resulting from your use of or inability to use the Service.

Without limiting the above, Qumely is not responsible for academic consequences arising from inaccurate or incomplete information, user-confirmed errors, missed or delayed notifications, incorrect time-zone settings, AI output, imported course information, or a user’s failure to verify information against official academic sources.

Where liability cannot legally be excluded, Qumely’s liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

15. Privacy

Our collection and handling of personal information is described in the Qumely Privacy Policy, which forms part of your relationship with Qumely.

16. Changes

We may update these Terms as Qumely evolves.

For material changes, we may provide notice and, where appropriate, require you to accept the updated Terms before continuing to use certain features.

We may record the version of the Terms you accepted and the date of acceptance.

17. Governing Law

Unless applicable consumer law requires otherwise, these Terms are governed by the laws of Nova Scotia and the applicable federal laws of Canada.
